By accessing or using Keld ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

The Service is operated by Keld Ltd, a company registered in England and Wales ("Keld", "we", "our", or "us").

These Terms apply to all users of the Service, including users who browse, create accounts, check in to venues, connect with other users, or contribute content.

2. Description of Service

Keld is a platform that connects remote workers with independent venues and facilitates professional networking. The Service allows you to:

• Discover co-working friendly venues (cafés, bars, hotels, restaurants)
• Check in to venues and indicate your availability to meet others
• Create a professional profile to share your background and interests
• Connect with other professionals working nearby
• Request and schedule in-person meetings
• Access venue information and exclusive deals (where available)
• Track your activity through streaks and achievements

Keld facilitates connections but does not employ, endorse, or guarantee any user. All interactions between users are at your own discretion and risk.

3. User Accounts

3.1 Account Creation

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your information to keep it accurate
• Maintain the security and confidentiality of your password
• Notify us immediately of any unauthorised use of your account
• Accept responsibility for all activities that occur under your account

3.2 Age Requirement

You must be at least 18 years old to use Keld. By creating an account, you represent and warrant that you are at least 18 years of age. We do not knowingly collect information from anyone under 18.

3.3 One Account Per Person

You may only create and maintain one account. Creating multiple accounts may result in termination of all your accounts.

4. User Conduct and Community Guidelines

Keld is a professional networking platform. You agree to treat other users with respect and maintain professional conduct at all times.

4.1 You Agree To

• Be respectful in all interactions with other users
• Use your real identity and provide accurate profile information
• Respect other users' privacy and boundaries
• Accept "no" gracefully if someone declines to connect or meet
• Meet in public places and prioritise your safety

4.2 You Agree Not To

• Harass, abuse, stalk, threaten, or intimidate other users
• Use the Service for dating, romantic solicitation, or sexual purposes
• Post false, misleading, defamatory, or fraudulent content
• Impersonate any person or misrepresent your professional background
• Spam, solicit, or send unsolicited commercial messages
• Use the Service for illegal purposes or to promote illegal activities
• Discriminate against or demean others based on protected characteristics
• Collect or harvest information about other users without consent
• Interfere with or disrupt the Service, servers, or networks
• Attempt to gain unauthorised access to any part of the Service
• Use automated systems, bots, or scripts to access the Service
• Circumvent any security or access controls

4.3 Consequences of Violations

Violations of these guidelines may result in warnings, temporary suspension, or permanent termination of your account, at our sole discretion. Serious violations may be reported to law enforcement.

5. Safety Features

5.1 Blocking

You can block any user at any time. When you block someone:

• They will not be able to see your profile or check-in status
• They will not be able to send you connection requests
• Any existing connection will be removed
• They will not be notified that you have blocked them

5.2 Reporting

If you experience or witness behaviour that violates these Terms or makes you feel unsafe, please report it immediately using the in-app reporting feature. We take all reports seriously and will investigate promptly.

5.3 Your Safety

While we strive to create a safe environment, we cannot guarantee the behaviour of other users. You are responsible for your own safety when meeting people in person. We recommend:

• Always meet in public places
• Tell someone where you're going and who you're meeting
• Trust your instincts—if something feels wrong, leave
• Do not share sensitive personal information too quickly

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of any content you post, upload, or share on the Service (including your profile information, photos, and messages). By posting content, you grant Keld a worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce, modify, adapt, publish, and display your content in connection with operating and promoting the Service.

You represent and warrant that you own or have the necessary rights to the content you post, and that your content does not infringe the rights of any third party.

6.2 Our Content

The Service and its original content, features, and functionality (including but not limited to the Keld name, logo, design, text, graphics, and software) are owned by Keld Ltd and are protected by copyright, trademark, and other intellectual property laws.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas, you grant us the right to use them without restriction or compensation to you.

7. Matching and Connections

Keld uses algorithms to suggest potential connections based on factors such as your profile information, professional interests, skills, and goals. You understand and agree that:

• Match suggestions are automated and do not constitute endorsement or vetting
• We do not verify the accuracy of users' profile information
• We do not guarantee that you will make connections or that connections will be beneficial
• You are solely responsible for evaluating whether to connect with or meet another user

8. Venue Partnerships

Keld partners with independent venues to provide co-working opportunities and may offer exclusive deals or benefits at certain venues.

You understand and agree that:

• Venues are independent businesses, not owned or operated by Keld
• We do not guarantee the quality, safety, or availability of venue services
• We are not responsible for any disputes between you and venues
• Venue offerings, deals, and availability may change without notice
• You must comply with each venue's own rules and policies

Your interactions with venues are solely between you and the venue. Keld is not a party to any agreement or transaction between you and a venue.

9. Notifications

By using the Service, you agree to receive notifications from us, including:

• Connection requests and responses
• Meeting requests and reminders
• Alerts when connections or matches are nearby
• Service announcements and updates
• Achievement and milestone notifications

You can manage your notification preferences in the app settings or disable notifications through your device settings.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. Please review our Privacy Policy carefully.

11. Account Termination

11.1 Termination by You

You may delete your account at any time through the app settings. Upon deletion:

• Your profile will no longer be visible to other users
• Your personal data will be deleted in accordance with our Privacy Policy
• This action is permanent and cannot be undone

11.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, if:

• You breach these Terms
• We reasonably believe you have engaged in fraudulent or illegal activity
• Your conduct harms other users or the Service
• We are required to do so by law

Upon termination, your right to use the Service will cease immediately.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Any defects will be corrected
• The Service will meet your requirements or expectations
• Any information provided by other users is accurate or truthful
• Connections made through the Service will be beneficial or safe

You use the Service at your own risk.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KELD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use of or inability to use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorised access, use, or alteration of your content or data
• Any interactions with other users, whether online or in person

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Keld Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or conduct on the Service

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer, you may also be entitled to bring proceedings in the courts of your country of residence, and nothing in these Terms affects your statutory rights as a consumer.

16. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

• Sending you a notification through the app
• Providing at least 30 days notice before material changes take effect

By continuing to use the Service after changes become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Keld regarding the Service.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
